Welcome to the No Red Flags app ('the app,' 'we,' 'our,' or 'us'). By accessing or using the app, you agree to comply with and be bound by the following Terms of Service ('Terms'). 1. Eligibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
3. User-Generated Content
By using the app, you agree that you will only upload text messages and screenshots that you have the right to use and share. You retain ownership of any content you upload, but by uploading content to the app, you grant us a non-exclusive, worldwide, royalty-free license to process and analyze your uploaded content for the purposes outlined in our Privacy Policy. You agree not to upload any content that violates any applicable law or regulation, infringes the intellectual property rights of others, or contains harmful, defamatory, or offensive material.
4. Subscriptions and Payments
The app offers both free and paid subscription options. If you choose a paid subscription, you agree to pay all applicable fees, taxes, and charges as outlined during the subscription process. We use third-party services like RevenueCat for subscription management and payment processing. By subscribing, you agree to RevenueCat’s terms and privacy policy.
5. AI Feedback and Limitations
The app uses AI-powered analysis to provide feedback on text messages that you upload. You acknowledge that the AI’s feedback is based on patterns and algorithms, and while we strive for accuracy, the feedback may not be perfect. You understand that the AI is a tool for providing insights and that any actions you take based on the feedback are at your own risk. We are not liable for any consequences that result from following or ignoring the feedback provided by the AI.
6. Prohibited Conduct
You agree not to use the app for any unlawful, harmful, or fraudulent activities, including but not limited to: interfering with the normal functioning of the app or its servers, attempting to gain unauthorized access to the app or any user data, or using the app to harass, abuse, or harm other users. We reserve the right to suspend or terminate your account if we detect any violations of these Terms.
7. Intellectual Property
All content, features, and functionality available through the app, including but not limited to the design, text, graphics, and software, are owned by No Red Flags, Inc. or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute any content from the app without our explicit permission, except as permitted by these Terms.
8. Limitation of Liability
To the fullest extent permitted by law, No Red Flags, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app or reliance on its content. We are also not liable for any third-party claims, loss of data, or loss of profits arising from the use of our services. Our total liability, whether in contract, tort, or otherwise, is limited to the amount you have paid for the app within the last 12 months.
9. Indemnification
You agree to indemnify, defend, and hold harmless No Red Flags, Inc., its employees, contractors, agents, and affiliates from any and all claims, liabilities, damages, and expenses (including legal fees) arising from your use of the app, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
10. Termination
We reserve the right to suspend or terminate your access to the app at any time, without notice, if we believe you have violated these Terms. Upon termination, you must cease all use of the app and delete any content you have uploaded.
11. Dispute Resolution
By using the app, you agree that any disputes, claims, or controversies arising from or in connection with these Terms shall be resolved through binding arbitration rather than in court.
Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction if the party believes that its intellectual property rights, privacy rights, or any other rights are being violated and requires immediate legal intervention.
Class Action Waiver
You agree not to participate in a class action, collective action, or representative action in relation to any dispute with us.
Opt-Out
You may opt-out of this arbitration agreement by notifying us at hello@getflags.co within 30 days of accepting these Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Delaware for the resolution of any disputes.
13. Venue
Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Delaware, and you consent to the jurisdiction and venue of such courts.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the extent necessary to make it enforceable.
15. Changes to These Terms
We may update or modify these Terms from time to time. When we make changes, we will post the revised Terms on this page and update the 'Effective Date.' Your continued use of the app after any changes to these Terms will constitute your acceptance of the updated Terms.
